The One Person Company (OPC) was recently introduced as an effective refinement of the sole proprietorship model. In an OPC, a single individual holds complete authority over the company while capping their personal responsibility to the extent of their investment in the business. This person acts as the sole shareholder and director (though a nominee director is appointed, they possess no authority unless the actual director is unable to execute agreements).
As defined by section 2(62) of the Companies Act 2013, a One Person Company is an entity formed under this act with just one individual as its member. This is a novel business structure brought about by the 2013 legislation. Similar to other corporate structures, the OPC maintains a distinct legal identity separate from its promoter. The key benefit of the OPC structure is that it can be established with just one member, contrasting with the requirement of at least two members for a private limited company or seven members for a public limited company.
While this format allows a single person to run a corporate entity with the benefit of limited liability, the OPC does come with certain constraints.
Under this company type, the member is obligated to designate a nominee when forming the company. This nominee must provide their agreement using form INC-3 to accept this role.
